1. Agreement to Terms
Welcome to CodeNeutronAI. These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Client", "you") and CodeNeutronAI ("Company", "we", "us", "our").
By accessing our website at codeneutronai.com or engaging our services, you agree to be bound by these Terms. If you disagree with any part of these terms, you may not access our website or use our services.
2. Services Overview
CodeNeutronAI provides the following services:
- Website Development: Custom web applications, e-commerce sites, landing pages, and content management systems using modern technologies including React, Next.js, Vue.js, Angular, WordPress, Laravel, Django, and more.
- Mobile App Development: Native iOS and Android applications, as well as cross-platform solutions using Flutter, React Native, Swift, Kotlin, and other frameworks.
- AI Workflows & Automation: Business process automation using tools like n8n, Zapier, Make, and custom Python solutions.
- AI Chatbots & Agents: Intelligent conversational AI solutions powered by GPT-4, Claude, and other AI technologies.
- Consulting Services: Technical consulting, code reviews, and architectural guidance.
3. Project Engagement
3.1 Project Initiation
All projects begin with a consultation to understand your requirements. Upon agreement, we will provide:
- A detailed project proposal
- Scope of work document
- Timeline and milestones
- Cost estimate and payment terms
3.2 Project Approval
Work commences only after:
- Written approval of the project proposal
- Receipt of agreed advance payment (typically 30-50% of project cost)
- Signing of project agreement (for larger projects)
3.3 Client Responsibilities
The client agrees to:
- Provide all necessary content, assets, and information in a timely manner
- Respond to queries and provide feedback within agreed timeframes
- Designate an authorized point of contact for project communications
- Make payments as per agreed schedule
- Provide access to required accounts and systems
4. Payment Terms
4.1 Pricing
All prices quoted are in Indian Rupees (INR) or US Dollars (USD) as specified. Prices are exclusive of applicable taxes unless stated otherwise.
4.2 Payment Schedule
Standard payment terms:
- Small Projects: 50% advance, 50% on completion
- Medium Projects: 40% advance, 30% at midpoint, 30% on completion
- Large Projects: Milestone-based payments as agreed
4.3 Payment Methods
We accept payments via:
- Bank Transfer (NEFT/RTGS/IMPS)
- UPI Payments
- International Wire Transfer
- PayPal (for international clients)
4.4 Late Payments
Late payments may result in:
- Project work suspension
- Interest charges at 2% per month
- Delayed delivery timelines
5. Intellectual Property Rights
5.1 Ownership Transfer
Upon full payment, the client receives:
- Full ownership of custom code developed specifically for the project
- Rights to use all delivered assets
- Source code and documentation
5.2 Retained Rights
CodeNeutronAI retains the right to:
- Reuse general coding techniques and methodologies
- Use non-confidential aspects of the project in our portfolio
- Retain proprietary tools and frameworks developed independently
5.3 Third-Party Components
Projects may include third-party libraries, frameworks, or plugins that are subject to their own licensing terms. We will inform you of any such dependencies.
6. Confidentiality
Both parties agree to:
- Maintain confidentiality of proprietary information
- Not disclose business secrets, strategies, or sensitive data
- Use confidential information only for project purposes
- Return or destroy confidential materials upon project completion
This obligation survives termination of the agreement and remains in effect for 3 years.
7. Project Changes and Scope
7.1 Change Requests
Any changes to the agreed scope must be:
- Submitted in writing
- Evaluated for impact on timeline and cost
- Approved by both parties before implementation
7.2 Scope Creep
Work beyond the original scope will be charged additionally at our standard hourly rate or as mutually agreed.
7.3 Revisions
Standard projects include:
- 2-3 rounds of revisions (as specified in proposal)
- Additional revisions charged at hourly rate
- Revisions must be within scope of original project
8. Delivery and Acceptance
8.1 Delivery
We will deliver the project as per agreed milestones. Delivery methods include:
- Deployment to production servers
- Source code transfer via Git repository
- Documentation and training materials
8.2 Acceptance Period
Upon delivery, the client has 7 business days to:
- Review and test the deliverables
- Report any issues or bugs
- Request corrections within scope
Silence beyond this period constitutes acceptance.
8.3 Bug Fixes
We provide 30 days of bug-fix support post-delivery for issues within the original scope at no additional cost.
9. Warranties and Disclaimers
9.1 Our Warranties
We warrant that:
- Services will be performed professionally and competently
- Deliverables will substantially conform to specifications
- Code will be original or properly licensed
9.2 Disclaimers
We do not guarantee:
- Specific business outcomes or ROI
- Search engine rankings or traffic
- Third-party service availability
- Compatibility with future technology updates
9.3 Limitation of Liability
Our liability is limited to the total fees paid for the specific service. We are not liable for indirect, incidental, or consequential damages.
10. Cancellation and Refunds
10.1 Client Cancellation
If the client cancels the project:
- Before work begins: Full refund minus 10% administrative fee
- After work begins: Payment for work completed plus 15% of remaining project value
- After 50% completion: No refund; payment due for all completed work
10.2 Company Cancellation
If we cancel the project (rare circumstances), you will receive:
- Full refund of unused advance payments
- All work completed up to that point
- Documentation of work done
11. Support and Maintenance
11.1 Post-Delivery Support
Standard projects include 30 days of post-delivery support for bug fixes related to the delivered scope.
11.2 Maintenance Packages
We offer ongoing maintenance packages that include:
- Regular security updates
- Performance monitoring
- Minor modifications
- Technical support
Maintenance packages are available at additional cost and are subject to separate agreements.
12. Website Use Terms
12.1 Acceptable Use
When using our website, you agree not to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit harmful or malicious code
- Attempt unauthorized access to our systems
- Engage in any activity that disrupts our services

13. Dispute Resolution

Parties agree to first attempt to resolve disputes through good-faith negotiation.

13.3 Jurisdiction
These Terms are governed by the laws of India. Any legal proceedings shall be conducted in the courts of Noida/Delhi, India.
14. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to:
- Natural disasters
- Government actions or regulations
- Pandemic or health emergencies
- Internet or power outages
- Acts of war or terrorism
15. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
16. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with any project-specific agreements, constitute the entire agreement between the parties and supersede all prior communications and proposals.
